1. Acceptance of These Terms
These Terms and Conditions (“Terms”) govern your access to and use of tricrobotics.com and any other website, page, or online form operated by TRIC Robotics Inc. that links to these Terms (collectively, the “Site”). The Site is operated by TRIC Robotics Inc., a Delaware / California – confirm state corporation with its principal place of business in Santa Barbara, California (“TRIC Robotics,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Site.
2. Eligibility
The Site is intended for business users who are at least 18 years old and able to form a binding contract. If you use the Site on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms, and “you” refers to both you and that entity.
3. Changes to the Site and to These Terms
We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also revise these Terms at any time by posting an updated version with a new “Last Updated” date. Changes take effect when posted. Your continued use of the Site after that date constitutes acceptance of the revised Terms. If you do not agree to a change, your remedy is to stop using the Site.
4. Permitted Use and Acceptable Use
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Site for your own internal business or personal informational purposes. All other uses are reserved.
You agree that you will not, and will not permit any third party to:
- Use the Site for any unlawful purpose or in violation of any applicable law, regulation, or third-party right.
- Copy, reproduce, republish, distribute, sell, license, rent, or create derivative works from the Site or its contents, except as expressly permitted in Section 5.
- Use any robot, spider, scraper, crawler, or other automated means to access, monitor, index, or copy the Site or its data, or to collect information for the purpose of training machine learning or artificial intelligence models, except as expressly authorized by us in writing or permitted by our robots.txt file.
- Reverse engineer, decompile, or disassemble any portion of the Site, or attempt to derive the source code of any software used to provide it.
- Circumvent, disable, or interfere with any security, authentication, or access-control feature of the Site.
- Introduce any virus, worm, malware, or other harmful code, or take any action that imposes an unreasonable or disproportionately large load on our infrastructure.
- Attempt to gain unauthorized access to the Site, other accounts, or any computer system or network connected to the Site.
- Harvest or collect email addresses or other contact information from the Site for the purpose of sending unsolicited commercial communications.
- Frame, mirror, or misrepresent the Site or its contents, or remove or obscure any copyright, trademark, or other proprietary notice.
- Submit false, misleading, or fraudulent information through any form on the Site, or impersonate any person or entity.
We may investigate and take any action we consider appropriate in response to a suspected violation, including removing content, restricting access, and reporting the matter to law enforcement.
5. Intellectual Property
The Site and all of its contents — including text, graphics, photographs, videos, illustrations, logos, page layouts, designs, case studies, research summaries, white papers, and software — are owned by TRIC Robotics or its licensors and are protected by United States and international copyright, trademark, trade dress, patent, trade secret, and other intellectual property laws. Except for the limited license in Section 4, no right, title, or interest in the Site or its contents is transferred to you.
You may view, download, and print a reasonable number of pages of the Site for your own internal, non-commercial reference, provided you do not modify the material and you retain all copyright and proprietary notices. Any other use, including republication or use in a commercial product or presentation, requires our prior written permission.
5.1 Trademarks
“TRIC,” “TRIC Robotics,” the TRIC Robotics logo, and other marks, graphics, and logos used on the Site are trademarks or registered trademarks of TRIC Robotics Inc. You may not use them without our prior written permission. Third-party names and logos appearing on the Site — including those of customers, research institutions, and media outlets — are the property of their respective owners and are used for identification purposes only; their appearance does not imply endorsement of you or your products.
5.2 Third-party content
Certain research findings, publications, quotations, images, and news articles displayed on the Site are the property of third parties and are used with permission or under applicable law. Nothing in these Terms grants you any license to that third-party material.
6. Submissions and Feedback
If you send us questions, comments, suggestions, ideas, or other feedback about the Site, our technology, or our services (“Feedback”), you grant TRIC Robotics a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, and exploit that Feedback for any purpose, without any obligation, attribution, or compensation to you. You represent that you have the right to provide the Feedback and that it does not violate any confidentiality obligation or third-party right.
Do not send confidential information through the Site. Communications made through the Site are not confidential and do not create any confidential, fiduciary, or professional relationship between you and TRIC Robotics unless we have signed a separate written agreement covering them.
7. Links to Third-Party Sites and Embedded Content
The Site contains links to and embedded content from third-party websites and services, including video platforms, social media networks, and news publications. We provide these for convenience and information only. We do not control, endorse, or assume responsibility for any third-party site, its content, its products, or its privacy and security practices. Accessing a third-party site or service is at your own risk and subject to that party’s terms.
8. No Advice; No Guarantee of Results
Information on the Site — including case studies, statistics, research summaries, testimonials, interviews, and descriptions of pest and disease outcomes — is provided for general informational purposes only. It is not agronomic, horticultural, pest-management, regulatory, financial, or legal advice, and it is not a substitute for consultation with a qualified professional such as a licensed Pest Control Adviser.
Results described on the Site were achieved under specific field, crop, seasonal, and operational conditions and may not be representative of results in other settings. Pest and disease pressure, cultivar, weather, soil, irrigation, field layout, timing, and integrated pest management practices all affect outcomes. Past or reported results are not a prediction or guarantee of the results any individual grower will obtain. Nothing on the Site constitutes a warranty, representation, or performance commitment by TRIC Robotics.
The Site may contain forward-looking statements about our plans, technology, and expansion. Those statements reflect our expectations as of the date made, involve risks and uncertainties, and are not commitments. We undertake no obligation to update them.
9. No Offer; Separate Agreements Control
Nothing on the Site is an offer to sell or lease equipment or services, and no contract is formed by your use of the Site or by submitting an inquiry form. Any provision of TRIC Robotics equipment, treatments, or Robots-as-a-Service engagements is governed exclusively by a separate written agreement signed by both parties. In the event of a conflict between these Terms and such an agreement, the signed agreement controls with respect to the subject matter it covers.
10. Disclaimer of Warranties
THE SITE AND ALL CONTENT, INFORMATION, AND MATERIALS ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, TRIC ROBOTICS DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE CONTENT IS ACCURATE, COMPLETE, RELIABLE, OR CURRENT. YOUR USE OF THE SITE IS AT YOUR SOLE RISK.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TRIC ROBOTICS OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, CROPS, YIELD, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, FOR ACCESS TO THE SITE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) [[ONE HUNDRED U.S. DOLLARS (US$100) – confirm amount]].
These limitations apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
12. Indemnification
You agree to defend, indemnify, and hold harmless TRIC Robotics and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with (a) your access to or use of the Site, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) any content or information you submit through the Site. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.
13. Copyright Complaints
If you believe material on the Site infringes your copyright, please send a notice under the Digital Millennium Copyright Act containing: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and its location on the Site; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the owner or authorized to act on the owner’s behalf. Send notices to our designated agent at legal@tricrobotics.com – confirm address or to the mailing address in Section 18. Register a DMCA agent with the U.S. Copyright Office to preserve safe-harbor protection.
14. Termination
We may suspend or terminate your access to the Site at any time, with or without notice or cause. Sections 5, 6, and 8 through 17, and any other provision that by its nature should survive, will survive termination.
15. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree that the exclusive venue for any action shall be the state or federal courts located in Santa Barbara County, California, and you consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.
Optional: many companies add a binding arbitration and class-action-waiver clause here. It is deliberately omitted from this draft because it materially changes users’ rights and requires specific drafting and conspicuous presentation. Discuss with counsel whether to include one.
16. Informal Dispute Resolution
Before filing any claim, you agree to try to resolve the dispute informally by sending a written description of the dispute and the relief sought to legal@tricrobotics.com – confirm address. The parties will attempt in good faith to resolve the matter for thirty (30) days after that notice is received.
17. General Provisions
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and TRIC Robotics regarding the Site and supersede all prior understandings on that subject.
- If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- You may not assign or transfer these Terms without our prior written consent. We may assign them freely, including in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for any failure or delay caused by circumstances beyond our reasonable control.
- No third-party beneficiaries. These Terms do not create any rights in favor of any third party, except for the indemnified parties named in Section 12.
- Export and sanctions. You agree to comply with all applicable U.S. export control and sanctions laws in connection with your use of the Site.
- These Terms may be made available in other languages for convenience. If there is any conflict, the English version controls.
- Section headings are for convenience only and do not affect interpretation.
